End-User Licence Agreement

This Agreement is between Keystone AI Business Support Ltd ("we", "us", "our") and you ("you", "User"), the individual or entity accessing or using the Keystone AI platform ("Platform").
1. Definitions
- "Platform"
- The Keystone AI software-as-a-service application, including all web interfaces, APIs, integrations, and related documentation.
- "Connected Services"
- Third-party services you authorise the Platform to connect to on your behalf, including but not limited to Intuit QuickBooks Online ("QBO"), CRM systems, telephony providers, and field-service management tools.
- "Your Data"
- Any data you provide to, or that is collected by, the Platform, including data retrieved from Connected Services with your authorisation.
2. Licence Grant
Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for your internal business operations during the term of your subscription.
3. Account & Access
- You must provide accurate registration information and keep your credentials secure.
- You are responsible for all activity under your account.
- You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Platform.
4. Connected Services & Authorisation
- When you connect a third-party service (e.g. QBO), you explicitly authorise the Platform to access, read, and where applicable write data to that service on your behalf, limited to the scopes you approve during the OAuth authorisation flow.
- You may disconnect any Connected Service at any time via the Platform's settings or the third party's own app management console. Disconnection will immediately revoke the Platform's access.
- We do not store your third-party login credentials. Authentication is handled via industry-standard OAuth 2.0 tokens.
- Your use of Connected Services remains subject to those services' own terms (e.g. the Intuit Terms of Service).
5. Acceptable Use
You agree not to:
- Use the Platform for any unlawful purpose or in violation of any applicable law.
- Reverse-engineer, decompile, or disassemble any part of the Platform.
- Attempt to gain unauthorised access to any systems or data.
- Use the Platform to transmit malicious code or interfere with its operation.
- Resell, sublicence, or commercially redistribute access to the Platform without our written consent.
6. Intellectual Property
All rights, title, and interest in the Platform (excluding Your Data) remain with Keystone AI Ltd. Nothing in this Agreement transfers ownership of our intellectual property to you. Your Data remains yours; we claim no ownership of it.
7. AI-Generated Outputs
- The Platform may use artificial intelligence to generate suggestions, reports, summaries, or other outputs ("AI Outputs").
- AI Outputs are provided as decision-support tools and should not be treated as professional advice (legal, financial, or otherwise). You are responsible for reviewing and validating AI Outputs before acting on them.
- We do not guarantee the accuracy, completeness, or fitness for purpose of any AI Output.
8. Data Handling
Our collection, processing, and storage of personal data is governed by our Privacy Policy. By using the Platform, you confirm you have read and accepted that policy.
9. Service Availability & Support
- We aim to maintain reasonable uptime but do not guarantee uninterrupted availability. Scheduled maintenance will be communicated in advance where practicable.
- Support is provided during UK business hours via the channels specified in your subscription plan.
10. Limitation of Liability
- To the maximum extent permitted by law, our total aggregate liability under this Agreement shall not exceed the fees paid by you in the 12 months preceding the claim.
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity.
- Nothing in this Agreement excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
11. Termination
- Either party may terminate this Agreement with 30 days' written notice.
- We may suspend or terminate your access immediately if you breach this Agreement.
- Upon termination, your licence ends and we will delete Your Data within 30 days, except where retention is required by law. You may request an export of Your Data prior to termination.
12. Changes to this Agreement
We may update this Agreement from time to time. Material changes will be notified via email or in-app notice at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
13. Governing Law & Disputes
This Agreement is governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
